Rule 506(b) Regulation D prohibits general solicitation or advertising of offerings under this rule, while Rule 506(c) Regulation D permits issuers to broadly solicit and generally advertise an offering, provided that all purchasers in the offering are accredited investors. To access these offerings in the Republic Deal Room, investors may be required to review and sign a non-disclosure agreement (NDA), which generally prohibits the sharing of any information about the offerings to others. Violation of the rules of the disclosure may result in a permanent ban from accessing the Deal Room.
